1. Agreement and eligibility
This Beta Tester Agreement applies when SignalRivet Audio approves you to receive prerelease software, installers, license keys, documentation, or related materials, collectively called the “Beta Software.” By accepting beta access or downloading, installing, activating, or using Beta Software, you agree to this agreement.
You must be at least 18 years old and legally able to enter this agreement. Beta access is personal to the approved tester and may not be transferred.
2. Limited beta license
SignalRivet Audio grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to install and use the Beta Software solely for personal, noncommercial evaluation and testing during the authorized beta period. The Beta Software is licensed, not sold. All rights not expressly granted are reserved.
3. Tester responsibilities
You agree to:
- Use the Beta Software only on systems you control or are authorized to test
- Protect installers, download links, serial numbers, activation keys, and credentials from unauthorized access
- Make reasonable backups before testing and avoid relying on Beta Software for critical or irreplaceable work
- Provide honest, useful feedback when reasonably requested
- Promptly report suspected security issues, unauthorized disclosure, or serious defects
- Follow testing instructions and applicable laws
4. Restrictions
You may not:
- Share, upload, publish, redistribute, sell, rent, sublicense, or transfer the Beta Software or beta access
- Share or publish license keys, installers, private documentation, or private download locations
- Bypass expiration, activation, licensing, access, or security controls
- Reverse engineer, decompile, disassemble, or attempt to derive source code except to the limited extent applicable law does not allow that restriction
- Use the Beta Software to develop, train, benchmark, or validate a competing product
- Remove proprietary notices or misrepresent the origin or ownership of the Beta Software
5. Confidentiality and public discussion
Unless SignalRivet Audio states in writing that a specific beta is public, the Beta Software and nonpublic information about it are confidential. You may not publish screenshots, recordings focused on demonstrating the software, reviews, benchmarks, feature details, or other nonpublic beta information without prior written permission.
This restriction does not cover information that becomes public through no breach by you, was lawfully known to you without confidentiality duties, or must be disclosed by law. If legally permitted, provide prompt notice before a required disclosure.
6. Feedback and your creative work
You retain ownership of your songs, recordings, sessions, presets, and other pre-existing creative work. You grant SignalRivet Audio a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, distribute, and incorporate beta feedback, suggestions, test results, and bug reports into products and services without compensation or attribution.
Do not submit third-party confidential material or content you do not have permission to share.
7. No compensation or guaranteed release
Beta participation is voluntary and unpaid unless a separate written agreement says otherwise. Access does not guarantee future access, a free commercial license, support, product release, compatibility, pricing, or any other benefit. Features may change or be removed without notice.
8. Beta risks and disclaimer
Beta Software is unfinished and may contain errors that cause crashes, corrupted sessions, data loss, unexpected audio output, incompatibility, or other damage. Do not use it as the only copy of important work, in live performance, or in production where failure could cause loss.
The Beta Software is provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, SignalRivet Audio disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, noninfringement, accuracy, reliability, and uninterrupted operation.
9. Limitation of liability
To the fullest extent permitted by law, SignalRivet Audio will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost or corrupted projects, recordings, presets, data, revenue, profits, business, or goodwill arising from beta participation or use of the Beta Software.
To the fullest extent permitted by law, total liability relating to the Beta Software or this agreement will not exceed US $50. Some jurisdictions do not allow certain exclusions, so these limitations apply only to the extent permitted there.
10. Privacy
Information submitted through the website or during beta support is handled under the Privacy Policy. Unless separately disclosed, SignalRivet Audio does not claim that a beta plugin automatically transmits telemetry. Testers should not send passwords, commercial license keys, or confidential client material in feedback.
11. Termination and deletion
SignalRivet Audio may suspend or terminate beta access at any time. Your beta authorization ends when the beta expires, access is revoked, a commercial replacement is released, or this agreement is terminated. When authorization ends, stop using the Beta Software and delete all copies, installers, keys, and private documentation in your possession or control.
Sections concerning restrictions, confidentiality, feedback, ownership, disclaimers, liability, and governing law survive termination.
12. Ownership
SignalRivet Audio and its licensors retain all ownership and intellectual property rights in the Beta Software, branding, documentation, and related materials. No rights to trademarks, source code, patents, copyrights, or trade secrets are transferred.
13. Governing law and general terms
This agreement is governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules. Disputes must be brought in a state or federal court in Kentucky that has jurisdiction. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not transfer this agreement without written permission.
